Baglung Welfare Society of America, Inc.
    Article 1: Organization
  • 1.The name of this organization shall be Baglung Welfare Society of America, Inc.
  • 2. The organization shall have a seal and logo, which shall be in the following form: Seal: Organization’s seal shall be provided by the Department of state, which consists of Baglung Welfare Society of America Inc a not for profit corporation, New York 2010, which is mentioned in annex A.
  • Logo: Organization shall have its own logo, which consists of Jugal Mountain on the top, Indrawati River in the bottom; hand shaking with the flag of Nepal, and the United States symbolizes the Friendship between the people of two nations in the inner part of the logo. Baglung Welfare Society of America, Inc 2015 shall be in the outer part of the logo, which is mentioned in Annex B 3. The organization may at its pleasure by a vote of the membership body change its Name.
    Article 2: Mission and Objectives
  • Mission:
    To build a relationship between people of baglung, Nepal and the United States of America in order to develop social, economical, technological, and educational aspects of the Baglung District and help back warded communities of the world.
  • Objectives:
    1. Mutual help, cooperation, support and unity
  • 2. Managing and raising rescue and support fund to support to needy people
  • 3. Bio-diversity conservation and promoting folk culture
  • 4. Facilitating in running small and medium entrepreneurship
  • 5. Support in promoting good governance
    Article 3: Membership and Dues
  • 1. Membership in this organization shall be open to all the people of Baglung, who are currently living in USA and Nepal, and all who provide supports for the development of the people of Baglung and other parts of the world.
  • 2. The dues of this organization shall be $10.00 per annum and shall be payable on or before the day of the annual meeting. Life membership is open to all who find the programs and principles of the organization as they think. Life member fee is $ 500.00 one time.
    Article 4: Type of Membership and Advisory Board
  • Membership type:
    1. General member: this membership will be provided to the people coming from Baglung to USA, agrees with the principles of organization, request for membership paying the necessary membership fee of $10. This member becomes eligible to vote, to be candidate for the committee.
  • 2. Life member: this membership will be provided to the people coming from Baglung to USA, agrees with the principles of organization, request for membership paying the necessary membership fee of $500. This member becomes eligible to vote, to be candidate for the committee.
  • 3. Honorary member: honorary membership will be granted to those dignified people who provide the significant support to fulfill the objectives of the organization. Honorary members will not be charged any fees. Organization will form an advisory board if any advice is needed.
  • 4. Founder member: those people who actively involved in establishing this organization will be the founder member of this organization.
    Article 5: Meeting
  • 1. The Annual General Meeting (AGM) of this organization shall be held during the month of July of every year. If 51 percent of the Board of Directors decides not to hold such annual meeting on that month the Board of Directors shall fix another the day. But it shall not be more than two weeks from the date fixed by this by-law. Regular meetings of this organization shall be held in New York, or any other place if the 51 percent of the Board of Directors agree on the venue.
  • 2. The presence of not less than fifty-one percent (51%) of the Board of Directors shall constitute a quorum and shall be necessary to conduct the business of this organization, but a less number may adjourn the meeting for a period of not more than 2 weeks from the date scheduled by these by-laws.
  • 3. The president will call Special meetings of this organization might when he or she deems it for the best interest of the organization. Notices of such meeting shall be e-mailed to all members at their e-mail as they appear in the membership roll book at least, but not more than 1 day before the scheduled date set for such special meeting.
  • 4. At the request of 33 percent of the Board of Directors, the president shall call a special meeting with reason, but such request must be made in written at least 7 days before the requested scheduled date. No other business other than that specified in the notice may be transacted at such special meeting.
    Article 6: Voting and Election
  • 1. At the meeting, except for the election of officers and directors, all votes shall be by voice. For election of officers ballots shall be provided and there shall not appear any marking that might tend to indicate the person who cast such ballot.
  • 2. At any regular or special meeting, any questions may be voted upon in the manner and style provided for election of officers and directors.
  • 3. At all votes by ballot, the chairman of such meeting shall immediately prior to the commencement of balloting appoint a committee of three members who shall act as “Inspectors of Election,” and who shall at the conclusion of such balloting certify in writing to the chairperson the results, and the certified copy shall be physically affixed in the minute book to the minutes of that meeting.
  • 4. No inspector of election shall be a candidate for office or shall be personally interest.
